Terms of Service

1. Introduction

These Terms of Service (the "Terms") constitute a binding legal agreement between you ("Customer", "you", or "your") and VIRTUALGEN CO., LIMITED (doing business as Lensmor, "we", "us", or "our"), a company incorporated in Hong Kong with its registered office at 19H MAXGRAND PLAZA NO 3 TAI YAU ST SAN PO KONG HONG KONG.

These Terms govern your access to and use of the Lensmor Event Intelligence Platform, including our website, dashboard, APIs, Model Context Protocol (MCP) integrations, and data enrichment services (collectively, the "Services").

By registering for an account or using the Services, you confirm that you are acting in a professional capacity for business purposes (B2B) and agree to be bound by these Terms.

2. The Service & Access Rights

2.1 Service Description

Lensmor is a B2B SaaS platform that aggregates Open Source Intelligence (OSINT) related to trade shows, exhibitors, and professional profiles to help organizations make data-driven decisions.

2.2 License & Seats

Grant of License: Subject to payment, we grant you a non-exclusive, non-transferable, revocable right to access the Service.

Seat Usage: Access is strictly limited to the number of authorized users ("Seats") in your plan. Seats are for named individuals and cannot be shared (i.e., multiple people using one login).

Seat Reassignment: You may reassign a Seat to a new user only if the previous user has left your organization or changed roles.

2.3 API & MCP Usage

Permitted Use: You may use our API/MCP to integrate Lensmor data into your internal CRMs (e.g., Salesforce, HubSpot) or internal AI Agents.

Prohibited Use: You may not use the API to build a competing data product, resell the raw data, or expose our data publicly without our written consent.

Rate Limits: We strictly enforce API rate limits. Attempts to circumvent these limits (e.g., via IP rotation) constitutes a material breach of these Terms.

3. Account and Security

You are responsible for safeguarding your credentials and API Keys. You agree that any action performed under your credentials (including by your AI Agents or scripts) is your sole responsibility.

4. Data Rights & Usage Policies (Critical)

4.1 Your Data (User Assets)

You retain full ownership of:

Config Data: The specific competitors or events you choose to track.

Enriched Data: The contact information (e.g., emails) you unlock via our Enrichment service.

License to Us: You grant Lensmor a limited license to store and process this data solely to provide the Service to you (e.g., to run the enrichment query). We do not sell your private Enriched Data to other customers.

4.2 Lensmor Directory Data (Public OSINT)

Source: Lensmor aggregates data from Publicly Available Information (e.g., search engine indexes, public exhibitor lists, public press releases).

No Hacking: We do not bypass authentication screens (CAPTCHAs are not authentication), hack servers, or access private social media accounts.

Customer Instruction: When you use Lensmor to look up an entity, you acknowledge that you are instructing Lensmor to search for public information on your behalf. You represent that your use of this data complies with all applicable laws (including GDPR and CAN-SPAM) in your jurisdiction.

4.3 Artificial Intelligence Usage

Training Rights: We may use aggregated, anonymized usage patterns (e.g., "Software companies track these 5 events most often") to improve our AI models.

Confidentiality: We will NOT use your specific "Enriched Contact Lists" or "Private Notes" to train public models that would leak your data to other customers.

4.4 Data Security Commitment

Lensmor commits to maintaining commercially reasonable technical and organizational measures to protect your Customer Data. These measures include:

(a) Utilizing AWS Key Management Service (KMS) for cryptographic key custody;

(b) Enforcing encryption-at-rest for all production databases;

(c) Ensuring that our engineering personnel only access production data via secure, logged, and encrypted channels without direct access to decryption keys.

You acknowledge that while we take these advanced measures, no system is perfectly immutable, but we agree to notify you strictly in accordance with applicable laws in the event of a confirmed data breach.

5. Billing, Payment, and Refunds

5.1 Subscription Fees: Services are billed in advance on a recurring basis (monthly or annually) according to the pricing plan you selected.

5.2 Automatic Renewal: Your subscription will automatically renew unless you cancel it before the end of the current billing cycle.

5.3 Refund Policy (Strict No-Refund Policy)General Rule: Except as required by applicable law, all fees paid are non-refundable.Specific Exclusions: For clarity, Lensmor does not provide refunds, credits, or prorated billing for:

  • Partial Months: Cancellations made mid-cycle (you will retain access until the cycle ends).
  • Non-Usage: Accounts that were active but not utilized by the Customer.
  • AI Dissatisfaction: Dissatisfaction with the specific output, accuracy, or "hallucinations" of the AI insights (as detailed in Section 7).
  • Data Source Availability: Instances where specific event data, exhibitor details, or contact information cannot be retrieved because:
    • (a) The third-party event website or exhibitor website implements anti-scraping measures or blocking mechanisms;
    • (b) The public search engine indexes (OSINT sources) are outdated or removed;
    • (c) The target company does not have a publicly discoverable digital footprint.
    • (You acknowledge that our service relies on public data availability, which is outside our control.)
  • Credit Expiration: Unused "Enrichment Credits" expire at the end of each billing cycle and do not roll over (unless specifically stated in your Plan).

5.4 Overage Charges: Certain plans may have usage limits (e.g., number of tracked competitors, API calls). Usage in excess of these limits may incur additional charges.

6. Acceptable Use Policy

You agree NOT to:

Resell Data: Sell, rent, or lease the data obtained from Lensmor to third parties.

Scrape Us: Use bots to scrape data from our dashboard.

Spam: Use retrieved email addresses to send unsolicited spam in violation of CAN-SPAM, GDPR, or other anti-spam laws. Lensmor reserves the right to terminate accounts with high spam complaints.

7. AI & Data Accuracy Disclaimers (The "Shield")

7.1 Probabilistic Nature of AI You acknowledge that Lensmor uses Large Language Models (LLMs) which are probabilistic. The Service may produce "Hallucinations" (factually incorrect outputs that look confident).

Disclaimer: Lensmor does NOT guarantee that AI-generated summaries, action plans, or sentiment analysis are 100% accurate or complete.

7.2 Verification Required Lensmor is a research aid, not a definitive source of truth. You must independently verify critical data points (especially pricing, legal news, or contact details) before taking business actions. Lensmor is not liable for business decisions made based on AI suggestions.

7.3 Data Latency Our Public Directory is based on search engine indexes which may have a lag (e.g., 2-4 weeks). We do not guarantee real-time synchronization with LinkedIn or other platforms.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

NO CONSEQUENTIAL DAMAGES: LENSMOR SHALL NOT BE LIABLE FOR LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR REPUTATIONAL HARM ARISING FROM YOUR USE OF THE SERVICE.

CAP ON LIABILITY: OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING OUT OF THESE TERMS SHALL BE LIMITED TO THE AMOUNT YOU ACTUALLY PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Termination

We may suspend or terminate your access immediately, without notice, if we suspect:

Violation of these Terms (especially Section 6).

Abusive API usage that threatens our infrastructure.

Suspicious account activity indicating account sharing.

10. Governing Law

These Terms are governed by the laws of the Hong Kong Special Administrative Region. Any dispute arising from these Terms shall be resolved by the courts of Hong Kong.
